Terms and Conditions for PPA Evaluation Tool

Introduction

Synertics PPA Evaluation Tool (“Tool”) is an online platform designed to assist companies in evaluating and securing Power Purchase Agreements (PPAs). By accessing and using the Tool, you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, please do not proceed and close this page.

Definitions

  1. "User" refers to any individual or entity accessing or using the Tool.
  2. "Content" refers to all data, information, reports, calculations, or any other materials generated by the Tool.
  3. "We," "Us," or "Our" refers to Synertics GmbH, the owner and operator of the Tool.

Use of the Tool

  1. The Tool is provided for informational purposes only. It does not constitute legal, financial, or professional advice.
  2. Users are solely responsible for the accuracy and completeness of the input data provided to the Tool.
  3. The Tool's outputs are based on standardized models and assumptions. Actual risks may vary depending on various factors.
  4. Users agree to use the Tool in compliance with all applicable laws and regulations.
  5. Users agree not to: (i) resell, sublicense, or make any other commercial use of the Tool outside these Terms; (ii) distribute, modify, reverse engineer, decompile, or create derivative works based on the Tool or its Content; or (iii) use the Tool for competitive analysis or to build a similar product.

Intellectual Property

  1. All intellectual property rights in the Tool and its Content are owned by or licensed to Us.
  2. Users are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Tool for personal or internal business purposes only.
  3. Users may not copy, modify, distribute, sell, or create derivative works based on the Tool or its Content without prior written consent.

User Responsibilities

  1. Users acknowledge that the Tool includes proprietary data, methodologies, and analytics owned by Us. Users agree not to disclose, share, copy, screenshot, or reverse engineer any such proprietary information.
  2. Users are responsible for maintaining the confidentiality of their account credentials and for all activities conducted under their account.
  3. Users agree not to use the Tool for any unlawful or unauthorized purpose.
  4. Users must not upload any data that infringes on the rights of third parties or contains malicious code.

Disclaimers

  1. The Tool is provided on an "as is" and "as available" basis. We make no warranties or representations regarding the accuracy, reliability, or completeness of the Content.
  2. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
  3. We do not guarantee uninterrupted or error-free access to the Tool.
  4. We reserve the right to aggregate and anonymize user data for analytics, benchmarking, and product improvement purposes, while ensuring compliance with applicable privacy laws.

Limitation of Liability

  1. To the maximum extent permitted by law, We shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the use or inability to use the Tool.
  2. Our total liability for any claim arising from the use of the Tool shall not exceed the amount paid by the User, if any, for accessing the Tool

Indemnification

Users agree to indemnify and hold Us harmless from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from their use of the Tool, violation of these Terms, or infringement of any third-party rights.

Modifications to the Tool and Terms

  1. We reserve the right to modify, suspend, or discontinue the Tool or any part of it at any time without prior notice.
  2. We may update these Terms from time to time. Continued use of the Tool after any such changes constitutes acceptance of the revised Terms. Notification of changes will be provided via email or platform announcements.

Termination

We reserve the right to terminate or suspend User access to the Tool at Our sole discretion, without prior notice, for conduct that We deem violates these Terms or is harmful to other Users or Us.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of laws principles.

Dispute Resolution

  1. Any disputes arising out of or relating to these Terms or the use of the Tool shall be resolved through binding arbitration in Munich, Germany, in accordance with the rules of the German Arbitration Institute (DIS).
  2. Each party shall bear its own costs and fees in the arbitration process.
